These Terms of Service ("Terms") govern your access to and use of ICI Mager's website, services, and consulting offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

ICI Mager provides Revenue Management consulting services, including but not limited to:

  • Dynamic pricing optimization for short-term and mid-term rental properties
  • Revenue Management strategy consulting
  • Property Management System (PMS) and Channel Manager setup and integration
  • OTA listing optimization and management
  • Profitability dashboards and reporting
  • Operational automation consulting
  • Guest communication automation
  • Contract preparation and documentation services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Eligibility and Account

To use our Services, you must:

  • Be at least 18 years of age or have the legal capacity to enter into contracts
  • Provide accurate, current, and complete information when registering or using our Services
  • Maintain the security of your account credentials
  • Be responsible for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Service Agreements

Specific consulting services are provided under separate service agreements that detail:

  • Scope of services and deliverables
  • Pricing and payment terms
  • Service duration and milestones
  • Client responsibilities and data access requirements

  • Confidentiality obligations

In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail for matters related to that specific engagement.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your properties, revenue data, and business operations
  • Grant necessary access to Property Management Systems, Channel Managers, and other platforms as required for service delivery
  • Cooperate with our team and respond to requests in a timely manner
  • Maintain the security of your systems and accounts
  • Use our Services in compliance with applicable laws and regulations
  • Not use our Services for any illegal or unauthorized purpose
  • Not interfere with or disrupt our Services or servers

6. Payment Terms

Payment terms for our consulting services are specified in individual service agreements. General terms include:

  • Fees are due according to the payment schedule specified in your service agreement
  • Late payments may result in suspension of services
  • All fees are non-refundable unless otherwise specified in your service agreement
  • We reserve the right to change our pricing with reasonable notice
  • You are responsible for any taxes applicable to the services

7. Intellectual Property

Our Intellectual Property: All content, software, methodologies, dashboards, reports, and materials provided by ICI Mager remain our exclusive property or that of our licensors. You receive a limited, non-exclusive, non-transferable license to use our deliverables solely for your internal business purposes related to the services provided.

Your Data: You retain all rights to your property data, revenue information, and business data. By using our Services, you grant us a limited license to use, process, and analyze your data solely for the purpose of providing our Services.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of our engagement. This includes business strategies, financial data, property information, and other confidential materials. Confidentiality obligations survive termination of our services, except where disclosure is required by law or with written consent.

9. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

10. Disclaimers and Limitations

Service Availability: We strive to provide reliable Services but do not guarantee uninterrupted, error-free, or secure operation. Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

Results: While we use our expertise to optimize revenue and provide strategic guidance, we cannot guarantee specific revenue increases or business outcomes. Results depend on various factors including market conditions, property characteristics, and client implementation.

Third-Party Services: Our Services may integrate with third-party platforms (PMS, Channel Managers, OTAs). We are not responsible for the availability, functionality, or terms of these third-party services.

11. Limitation of Liability

To the maximum extent permitted by law, ICI Mager shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of our Services.

Our total liability for any claims arising from or related to our Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ICI Mager, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

13. Termination

Either party may terminate services in accordance with the terms specified in the service agreement. We may also suspend or terminate your access to our Services immediately if you:

  • Violate these Terms or any service agreement
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Misuse our Services or intellectual property

Upon termination, your right to use our Services will cease immediately. Provisions that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and ICI Mager regarding the use of our Services and supersede all prior agreements and understandings.
